TERMS OF SERVICE – SOUND STABILITY PROPERTY SERVICES

OVERVIEW

These Terms of Service ("Terms") govern your use of Sound Stability, a service operated by NewBitsNow LLC ("NewBitsNow", "we", "us", or "our"), doing business as Sound Stability.

Sound Stability provides a repeatable visual evidence system that documents property condition over time through scheduled, non-invasive site observations and reporting (the "Services").

By engaging our Services, you agree to these Terms.

SECTION 1 – NATURE OF SERVICE

Sound Stability provides routine observational documentation only.

We:

  • Observe visible conditions

  • Capture timestamped photographic records

  • Document changes over time

  • Provide structured reports

We do not:

  • Perform inspections

  • Provide code or safety compliance determinations

  • Perform repairs or maintenance

  • Provide property management

  • Offer security services or emergency response

  • Guarantee property condition or outcomes

All outputs are observational records, not professional opinions or certifications.

SECTION 2 – ELIGIBLE USE

This service is intended for:

  • Vacant or underutilized properties

  • Properties without active tenants or operations

  • Assets in holding, transition, or decision phases

You represent that:

  • You have legal authority over the property

  • The property is suitable for non-invasive observation

  • Engagement of this service does not violate any law, contract, or insurance requirement

SECTION 3 – SERVICE DELIVERY

Services are delivered on a scheduled basis (monthly, quarterly, or agreed cadence).

Each visit typically includes:

  • A Site Observation Report

  • Timestamped photo documentation

  • A summary status statement

Sound Stability reserves the right to:

  • Adjust scheduling due to weather, access, or safety constraints

  • Limit access to unsafe or restricted areas

  • Refuse service where conditions present risk

All visit timing is approximate and not guaranteed.

SECTION 4 – NON-INTERVENTION PRINCIPLE

Sound Stability operates under a strict non-intervention model.

We do not take action on observed conditions.

Observations:

  • Do not create responsibility to act

  • Do not imply urgency

  • Do not constitute notice of hazard

Clients remain fully responsible for all decisions, actions, and outcomes related to the property.

SECTION 5 – CLIENT RESPONSIBILITIES

You agree to:

  • Provide safe and lawful access to the property

  • Maintain appropriate insurance coverage

  • Ensure the property is reasonably safe to enter

  • Notify us of any known hazards or restrictions

You are solely responsible for:

  • Property condition

  • Compliance with laws and regulations

  • Maintenance, repairs, and security

If access instructions are incomplete or incorrect, services may be limited to accessible areas and will still be considered fulfilled.

SECTION 6 – RECORDS, DATA OWNERSHIP, AND LICENSE

6.1 Ownership

All reports, photographs, documentation, and structured records generated through the Services (collectively, the "Records") are and shall remain the sole property of NewBitsNow LLC.

6.2 Client License

Upon payment for Services, you are granted a:

  • perpetual

  • non-exclusive

  • transferable

license to use the Records for any lawful purpose related to the property, including internal use, reporting, transactions, or disclosure to third parties.

This license does not transfer ownership.

6.3 Nature of Records

Records are:

  • time-specific observations

  • limited to visible and accessible conditions

  • not exhaustive representations of the property

They are provided for documentation purposes only and are not guarantees or certifications.

6.4 Data Use and Aggregation

NewBitsNow LLC may use data derived from the Services in anonymized and aggregated form for:

  • internal analysis

  • service improvement

  • development of new products or services

No personally identifiable or property-identifiable information will be disclosed without consent, except as required by law.

SECTION 7 – LIMITATION OF LIABILITY

To the fullest extent permitted by law:

NewBitsNow LLC shall not be liable for:

  • Property damage

  • Loss of use

  • Financial loss

  • Missed conditions or changes

  • Third-party actions

Our total liability shall not exceed the amount paid for the service period in which the claim arose.

SECTION 8 – DISCLAIMER OF WARRANTIES

The Services are provided "as is" and "as available".

We make no guarantees regarding:

  • Accuracy or completeness of observations

  • Detection of all issues or risks

  • Future property condition

This service is documentation, not assurance.

SECTION 9 – INDEMNIFICATION

You agree to indemnify and hold harmless NewBitsNow LLC from any claims arising from:

  • Your use of the Services

  • Your property

  • Your failure to act on information provided

SECTION 10 – PAYMENT AND TERMS

Services are billed per selected plan (monthly, quarterly, or otherwise agreed).

Payments must be made in full prior to or in accordance with service delivery.

We reserve the right to:

  • Suspend services for non-payment

  • Modify pricing with notice

SECTION 11 – TERMINATION

Either party may terminate services at any time.

Termination does not relieve you of:

  • Outstanding payments

  • Obligations accrued prior to termination

SECTION 12 – THIRD-PARTY PLATFORMS

Transactions may be processed via Shopify or other platforms.

All services are provided solely by NewBitsNow LLC (d/b/a Sound Stability). Third-party platforms are not responsible for service delivery.

SECTION 13 – GOVERNING LAW

These Terms are governed by the laws of the State of Washington.

SECTION 14 – CHANGES TO TERMS

We may update these Terms at any time. Continued use of the Services constitutes acceptance.
